Item 8.01   Other Events.
On November 10, 2008, the Board of Directors of Corn Products International, Inc. (“Corn Products”) withdrew its recommendation in favor of adoption of the previously announced Agreement and Plan of Merger and Reorganization, dated as of June 21, 2008, as amended (the “Merger Agreement”) among Bunge Limited, Bleecker Acquisition Corp and Corn Products, and recommended against adoption of the Merger Agreement. A copy of a press release relating to the withdrawal of the recommendation in favor and the recommendation against adoption of the Merger Agreement is furnished as Exhibit 99.1 hereto.

Corn Products International Board of Directors Withdraws Recommendation in Favor of Merger Agreement with Bunge and Recommends Against Merger Agreement
WESTCHESTER, Ill. – November 10, 2008 – Corn Products International, Inc. (NYSE: CPO) today announced that its Board of Directors has withdrawn its recommendation in favor of adoption of the previously announced merger agreement with Bunge Limited (NYSE: BG), and has recommended against adoption of the merger agreement.
Pursuant to the merger agreement, which will remain in effect until terminated in accordance with its terms, Bunge has the right to require that Corn Products hold a meeting of its stockholders to vote on the adoption of the merger agreement or to terminate the merger agreement and seek reimbursement from Corn Products for up to $10 million of Bunge’s expenses in connection with the merger.
